Revised Mad City Quilt Guild Bylaws

Article I--Name and Purpose

Section 1. This organization shall be known as the Mad City Quilt Guild.

Section 2. The purpose of the Guild shall be to encourage and promote the art  of quilting and present activities of interest to the members.

Section 3. The Guild shall be not for profit, nonpartisan, and nonsectarian.

Article II--Membership

Section 1. Eligibility. Any person with an interest in quilting will be  considered a member upon payment of annual dues.

Section 2. Annual dues for the coming year shall be determined by the Board  and approved by the members before May 31. The fiscal year shall run from August 1 through July 31 of the following year. Dues will be prorated to one-half the annual membership dues, on April 1.

Section 3. Annual dues are due on September 1 and in arrears on September 30.  A member whose dues are in arrears shall be dropped from the membership  roster.

Section 4. Guests. Guests may accompany any member to any meeting but will be  expected to join the Guild if continued attendance is desired. Nonmembers will be expected to pay higher fees to any workshop or function sponsored by the Guild.

Article III--Meetings

Section 1. Under normal circumstances, regular meetings shall be held twice  monthly, on the first Tuesday afternoon and the fourth Monday evening. Exceptions will be made for holidays.

Section 2. There shall be spring and fall workshops each year. The fall  workshop, in years alternate with the W.Q.I. Symposium, shall be a weekend retreat.

Section 3. Quorum. A quorum for conducting business shall be the members present at our regular monthly meetings or meetings called by the Board.

Section 4. Majority Rule. A requirement for passage of any resolution shall  be a simple majority of members present at any given meeting.

Article IV--Executive Board

Section 1. Definition of the Board

The elected officers, the appointed chairpersons of committees, and the  immediate past president shall constitute the Board. The committee chairpersons  shall serve for a term corresponding to the president who appointed them.

The Board shall conduct the affairs of the Guild. At the beginning of the  year, the Board shall prepare an estimated annual budget for the guidance of the guild.

The Board will meet upon the call of the president. It shall establish a regular meeting schedu1e at the beginning of the year, and meet at least every other month.

It shall be the responsibility of all Board members to attend the Board  meetings and Guild meetings, to present reports, and to support the organization  in its activities.

A majority of the Board members shall constitute a quorum.

Section 2. Elected Officers. Officers shall consist of the following members of the Board.

President. The president shall preside at Board meetings and joint meetings  and make room arrangements for it. She/He shall appoint committee chairpersons,  oversee and coordinate all committees. The president shall compile information of area events of interest to the membership and communicate this to the  membership. The president shall act as liaison between the Guild and the community.

Afternoon/Evening Vice-President. The afternoon and evening vice-presidents  shall preside at their respective meetings, make room arrangements, coordinate refreshments, clean up, and publicity.

Afternoon/Evening Program Coordinators. The program coordinators shall preside at their respective meetings in the absence of the vice-president. They  will co-chair the program committee and be responsible for all programs at quilt meetings.

Secretary. The secretary shall keep minutes of Board meetings, distribute  minutes to the Board, and conduct necessary Board correspondence.

Treasurer. The treasurer shall act as custodian of all guilt funds and keep  an accurate itemized record of all receipts and expenditures in the format  specified by the Board. The treasurer shall be ready to present an account of monies to date when asked. The treasurer will deposit and maintain accounts in a  bank or banks selected by the Board, work with committees to establish fees for  events.

Past-President. The past-president will be included on the Board to provide  continuity.

Section 3. Appointed Committee Chairpersons. The following committee chairpersons are appointed by the president and will be members of the Board:

Newsletter Chairperson. The newsletter chairperson will compile, print, and  mail newsletters at least four times a year. Mailing will be coordinated with the treasurer and the Board. Back issues will be maintained.

Librarian. The librarian shall maintain the guild library and see that it is available to members at meetings. She/He shall make recommendations to the Board  as to the purchase of new books. She/He shall maintain a current bibliography  and publish it once a year. The librarian will check out books to members for no  longer than thirty days.

Workshop/Retreat Chairperson. The workshop and retreat chairperson will  coordinate all arrangements for any retreats and workshops with the approval of  the Board. This person shall be appointed in January and serve a three year  term. The first year shall overlap with the outgoing workshop chair, thereby helping and learning through the spring workshop and fall retreat.

Sales Chairperson. The sales chairperson is responsible for all arrangements for sales in which the guild participates with the approval of the Board.

Service Project Chairperson. The service project chairperson shall be the  liaison between the guild and the community for service projects. She/He shall screen project ideas and make recommendations to the Board. She/He shall  publicize projects and solicit members to complete them.

Membership Chairperson. The membership chairperson shall be responsible for  preparing and collecting membership forms, collecting and depositing dues, keeping a current membership list, printing newsletter labels, and publishing  and distributing a yearly guild directory at the Nov./Dec. meetings.

Section 4. Election of Officers.

The officers shall be elected at the annual summer picnic conducted in June. No elected officer shall serve more than two consecutive terms in the same  office.

Nominations and Elections. The president and executive officers should work  together to find qualified replacement officers for the Board. The names shall be submitted as nominations for the new board prior to the May meeting. Nominations will be taken from the floor at the May meetings, before the election at the June meeting, and at any other time. All nominations must have  the consent of the nominee. Balloting method shall be provided by the  chairperson.

Article V--Amendments

Section 1. These bylaws may be altered, amended, or repealed and new bylaws  adopted by a two-thirds vote of the members present at both meetings. Members  must be provided with a written notice of proposed changes prior to both  meetings.
